These Terms govern your use of our website, dashboards, and services. By accessing or purchasing our services, you agree to these Terms. If you do not agree, you may not use our site or services.
Scope of Services
Agents AI Assistant LLC provides AI-powered automation, marketing, and lead management services, including but not limited to: AI receptionists, SMS/email communication tools, sales caller integrations, ad campaign management, appointment booking systems, funnel/website builds, and analytics dashboards.
Service options include:
Starter Agent:AI receptionist, chatbot (if applicable), SMS/email confirmations. No refund or appointment guarantee.
Growth Team:Full automation package, AI sales caller, nurturing, ad management. Eligible for refund guarantee.
Market Dominator:Includes Growth Team features plus website build, advanced automations, analytics, and priority support. Refund guarantee rules same as Growth Team.
Pay-Per-Deal: Requires separate commission and ad spend obligations, as detailed in Refunds & Guarantees.
Term & Duration
The Agreement begins on the date of payment (“Effective Date”). Setup fees are non-refundable. Subscriptions carry a minimum lock period of 60 days (Growth Team and Market Dominator) or 3 months (Pay-Per-Deal). After the lock period, subscriptions continue month-to-month unless terminated as outlined in Termination.
Fees & Billing
Clients agree to pay setup and service fees as listed at checkout or invoice. Setup fees are due immediately. Monthly service fees are billed automatically after the applicable lock period. Late payments may result in suspension of services and accrue interest at 1.5% per month (18% annually) or the maximum allowed by law. Failure to make payment within fifteen (15) days of due date constitutes a material breach.
Guarantees & Refunds
Growth Team and Market Dominator Plans:
Clients are eligible for a prorated refund of the monthly service fee if fewer than five (5) qualified appointments are delivered within sixty (60) days of the Effective Date, provided all Success Guidelines are met. Setup fees are always non-refundable.
Pay-Per-Deal Plan:
Setup Fee: $0
Minimum Term: Three (3) months, non-cancellable except as provided herein
Ad Spend: Minimum $200/day billed directly to Client’s advertising account
Commission: 30% of gross commission earned on any closed real estate transaction attributable to Company’s leads
Survival: Commission obligations remain enforceable for twelve (12) months after termination
Early Termination: $4,500 fee if Client cancels before the three-month minimum term
Success Guidelines (Eligibility for Refunds)
1. Attend all scheduled meetings on time
2. Maintain minimum daily ad spend ($30/day or $200/day for PPC)
3. Log into CRM at least once per week
4. Approve ad creatives within 48 hours
5. Do not alter campaigns or targeting without approval
6. Provide at least 10 appointment slots weekly
7. Attempt at least one personal follow-up per lead
Failure to meet these guidelines voids the refund guarantee.
Client Responsibilities
Clients are responsible for sales performance, lawful operations, and compliance. Clients must provide accurate business information and necessary credentials, and cooperate fully with service delivery.
Automation Ownership & Intellectual Property
Starter Agent & Pay-Per-Deal: Automations are licensed only while subscription is active.
Growth Team & Market Dominator: Clients own the automation build after setup fees are paid. Migration fees apply ($1,999 Growth / $3,499 Market).
Proprietary workflows and systems may not be copied, reverse-engineered, or reproduced outside of the ownership or licensing terms.
Confidentiality
Both parties agree to maintain confidentiality of proprietary information, client data, and trade secrets.
Disclaimers
Services are provided “as is.” Results vary depending on market conditions and client sales process. We do not guarantee revenue or closings. We are not responsible for outages, policy changes, or third-party platform performance.
Limitation of Liability
Agents AI Assistant LLC shall not be liable for indirect, incidental, or consequential damages. Aggregate liability is limited to fees paid in the 30 days preceding a claim.
Termination
Clients may terminate with 30 days’ written notice after the minimum lock period. No refunds will be issued upon termination. Failure to pay or comply with responsibilities may result in immediate termination.
Dispute Resolution
Disputes will first be addressed through good-faith negotiation. If unresolved, disputes will proceed to mediation in Ventura County, California, and if still unresolved, binding arbitration under AAA Commercial Rules in Ventura County, CA.
Indemnification
Clients agree to indemnify and hold Company harmless against claims, losses, or damages arising from misuse of services, violations of law, or breach of these Terms. The prevailing party in any dispute may recover attorney’s fees and costs.
Independent Contractor Status
The Company operates as an independent contractor, not as an employee of the Client.
Governing Law & Venue
These Terms are governed by the laws of the State of California. Venue shall be the Superior Court of California, County of Ventura, Hall of Justice, 800 South Victoria Avenue, Ventura, CA 93009.
Entire Agreement
These Terms, together with any plan selections made at checkout, constitute the full agreement between the parties and supersede prior discussions.
SMS Communications & Consent
This campaign sends SMS Notifications, Alerts & Occasional Marketing Communication to customers who have opted in to receive SMS notifications.
You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.
